Terms of Service

1. General Provisions

These Terms of Service (hereinafter – the Terms) govern the procedure by which the user utilizes the digital service provided by Commerce Consulting Services, Sabiedrība ar ierobežotu atbildību (hereinafter – the Service Provider), intended for the preparation of documents for the registration of a limited liability company (SIA) or a reduced equity SIA in the Commercial Register. The use of the Service does not guarantee a positive decision by the Register of Enterprises, and the Service Provider shall not be held liable for the outcome of the registration process.

2. Description of the Service

The Service is a document preparation solution that, based on the information provided by the user, generates the following documents:

  • Decision on incorporation or the founding agreement;

  • Articles of Association;

  • Register of Enterprises application form (KR4);

  • Shareholders’ register compartment.

The user acknowledges that the Service generates only a portion of the documents required for SIA registration. The user is responsible for the completion of all other necessary documents and the fulfillment of conditions in accordance with applicable laws and regulations. Examples of documents not provided by the Service:

  • Real estate owner’s consent: Required if the company’s legal address is registered in a property not owned by the shareholders or board members (this does not need to be submitted to the Register of Enterprises but must be in the company’s possession).

  • Bank payment orders: Confirming the payment of share capital, which each shareholder must obtain from their bank (these must be submitted by each shareholder).

3. User Responsibility

The user assumes full responsibility for the accuracy of the information entered into the Service, including the SIA name, shareholder details, addresses, share capital, and other data. The Service Provider does not verify the data entered by the user and does not confirm its compliance with regulatory requirements. The user is responsible for reviewing the final versions of the documents and ensuring their compliance with the requirements of the Register of Enterprises.

4. Processing of Personal Data

Only personal data necessary for document preparation in accordance with regulatory acts (e.g., name, surname, personal identity code, address of the founders) is processed within the Service. The user is an independent controller within the meaning of the General Data Protection Regulation (GDPR) regarding the data they enter into the Service. The user is responsible for ensuring compliance with all GDPR requirements, including the obligation to inform natural persons if their data is entered into the Service. The Service Provider does not process or use the data entered by the user for any other purposes.

5. Data Availability and Storage

Information entered into the Service is not collected or stored longer than is technically necessary to generate the documents. Upon document creation, a link is sent to the user’s specified email address and remains active for 14 days. After this period, the data is automatically and irreversibly deleted. If the user ceases use of the Service for more than 30 minutes or closes the browser window, all entered information is immediately and fully deleted.

6. Service Availability

The Service Provider endeavors to ensure continuous and stable operation; however:

  • Continuity of operation, freedom from errors, or the immediate rectification of technical deficiencies is not guaranteed;

  • No backup copies of user data are created;

  • The Service Provider is not liable for malfunctions, availability interruptions, or technical limitations.

The Service Provider reserves the right, at any time and without prior notice, to:

  • Make changes to the Service;

  • Suspend or terminate its operation.

7. Limitation of Liability

The Service Provider is not liable for any expenses, losses, or damages (direct, indirect, special, consequential, or lost profits) arising from:

  • The use of the Service;

  • The unavailability of the Service;

  • Errors or incorrect data entry by the user;

  • The use of documents outside the control of the Service Provider.

Any third-party claims arising from the user’s data or the subsequent use of generated documents are the sole responsibility of the user.

8. Final Provisions

By continuing to use the Service, the user confirms that they have read and agreed to these Terms. If the user does not agree to the Terms, they must immediately cease using the Service. We may update these Terms from time to time to reflect changes in our operations, legal requirements, or best practices. The latest version will always be available on this page, with the update date indicated above.
